Equipment Warranty Certificate

This Equipment Warranty Certificate (this “Warranty Certificate”) is given in respect of the contract between the Employer and the Vendor dated [?] (the “Contract”).
In order to warrant that the _____________________________________.can be properly operated during the reasonable period of use, the Employer and the Vendor have agreed to sign this Warranty Certificate. During the Warranty
Period, the Vendor shall be responsible for quality of the equipment in accordance with the relevant administrative regulations and the agreement between the parties.
Scope of Equipment Warranty
The scope of equipment warranty includes all of the Works.
The Warranty Period is calculated from the date which the Taking-Over Notice has been issued.
Based on relevant State regulations and the specific project involved, the parties agree that the Warranty Period for the various parts of the Works shall be as follows:
in respect of the equipment supply, a 5 years calculated from the date of Taking-Over Notice; which includes the testing and commissioning; in respect of the installation of the equipment, a 2 years calculated from the date of Taking-Over Notice; which includes the testing and commissioning.
or, in every case, any longer period during which the Vendor is liable to the Employer in respect of any quality issues under applicable Law.
3. Responsibility for Warranty (1)
For items which are included in the scope of the warranty stated in Article 1 above, the Vendor shall repair any Defect notified to it during the applicable Warranty Period. The Vendor shall dispatch personnel to carry out such repairs, at a maximum, within 7 days after receiving notice of the defect. If the Vendor does not dispatch personnel to repair the items within the agreed upon time, the Employer may engage other personnel for repairs. Any losses, costs and expenses incurred by the Employer in engaging other persons for repairs shall be deducted from any amount retained under the Contract and any balance due shall be recoverable from the Vendor as a debt.
If an accident which requires immediate repairs occurs, the Vendor shall arrive at the scene of the accident to conduct repair work immediately after receiving notice of the accident. Any repair cost incurred at the request of the Employer from the accident that is not caused by a Defect in or affecting the Works or any part thereof shall be borne by the Employer.
The Vendor guarantees the quality of the equipment during the reasonable period of use stipulated by State regulations. If the project causes damages to person or property during the reasonable period of use for reasons attributable to the Vendor, the Vendor shall bear responsibility for compensating for any damages.
Other terms agreed upon between the parties regarding: (1)
Words and expressions used in this Warranty Certificate but not defined shall have the meanings given to them in the Contract.
The Vendor shall commence and/or complete any work under Article 3 above within such times as may be specified by the Employer, and in specifying such times the Employer may place the highest importance on ensuring that there is no, or the minimum possible, interference with its business or its use of the Site or the Works. The obligations of the Vendor under Article 3 to remedy include execution of all necessary works of re-design, repair, rectification, amendment, replacement, reconstruction and making good.
The Employer shall allow the Vendor access to the Works for the purpose of it performing its obligations under Article 3 above provided that the Employer shall be entitled to allow such access at such times and subject to such conditions as the Employer considers necessary or desirable in order to ensure that there is no, or the minimum possible, interference with its business or its use of the Site or the Works. The Vendor shall comply with any conditions subject to which access is allowed.
The parties acknowledge and agree that, because the rectification of any in or affecting the Works after the date of Take-Over of the Works: (a)
may impact upon the operation of the facility of which the Works forms part;
may be required to be carried out at inconvenient times of the day or using specialist equipment (including for access) in order to minimize the impact upon operation of such facility; or
may be carried out more economically be other persons engaged by the Employer in connection with other works at such facility,
the Employer may at any time following the date of Take-Over of the Works, without prior notice to the Vendor, itself or by using any person, remedy any which the Vendor is responsible to remedy pursuant to Article 3 above, and in such event, all losses, costs and expenses incurred by the Employer in so doing shall be a debt recoverable from the Vendor by the Employer and paid by the Vendor to the Employer on demand by the Employer from time to time. Such liability of the Vendor shall be independent of and in addition to the Vendor’s liability under Article 3 and applicable law and in respect of any breach of the Contract.
The rights and remedies of the Employer and the obligations and liabilities of the Vendor under this Warranty Certificate are in addition to and shall in no way relieve, limit or diminish the rights and remedies of the Employer and the obligations or liabilities of the Vendor provided by law or in respect of a breach of the Contract. Nothing in this Warranty Certificate nor any Completion Certificate (nor the signing or issuance thereof) nor any identification of Punch List Items nor any expression of satisfaction with the Works or any part thereof nor any other act, matter or thing shall prejudice the rights or remedies of the Employer or the obligations or liabilities of the Vendor provided by law or in respect of a breach of the Contract.
